The Total war series frequently struggles with Vram over 3Gb, and Shogun 2 also faces this problem. Adjusting the configurations might resolve it.

GTX 980 supports 4GB of VRAM. The game is reporting 3GB as active.

980 equals 4GB of RAM for the game only noticing 3GB = 32-bit client This worked a while ago when GPUs had just half a GB of memory but is terrible now. The same goes for system RAM with an 8+GB capacity and a 32-bit client—it can't even utilize it properly.
