Then I don't see any reason why you would upgrade. You have a locked CPU, so there will be no performance benefit to doing so.

Yes, most of what you own works with a Gigabyte motherboard. You can easily upgrade without major issues.

Unless you require higher frequency RAM, upgrading to a Z series board isn't necessary. For fan headers, you can purchase a PWM splitter and use multiple fans through a single header.
