In reality, you probably don't need to worry much—if anything, you could just increase the fan by 1-2mm on the Phantom Spirit for troubleshooting. Alternatively, you might find the Flare X5/Ripjaws version of that setup, which is only 33mm tall and offers the same memory configuration.

I don't think that CPU 40mm section is going to interfere with the ram. Ram will most likely fall under the 60mm part, which would give plenty of clearance room. Raise fan if you have to, if ram and cpu cooler are interfering.
