I own a GeForce GT 730 (2GB) with an Intel i3 3240 CPU...I'm considering upgrading but unsure how and whether it's worth it. My motherboard is an ASUS P8H61-M LX R2.0 and I have 4GB RAM.

I can clearly tell you right away that your CPU isn't overclocked—it's protected by Intel. Your graphics card could potentially overclock, but it wouldn't really make much difference. The GT 730 is a budget model, and you won't see significant performance gains from it. If you're looking for a bit more frame rate in games, it might help a little, but if you're trying to boost the system for a new game, you're unlikely to be satisfied.

The CPU isn't suitable for overclocking, and the card isn't worth it either since any improvements would be negligible.

The available builds for that MB include an i7 2600K. You can review the CPU scores to determine the best CPU swap. The "good" GT730 is the 1GB DDR5 variant. If you're only interested in experimenting and learning how to overclock, it's fine—it will overclock significantly, though it remains a 720P card at most. A GTX750 Ti would still perform much better. If your 2GB card uses DDR3, it's quite limited. I recommend upgrading the CPU, adding 8GB RAM, and saving for a GTX1050 2GB. With that setup and 4GB RAM, you'd get a GTX750 1GB.
