It's a frequent issue with cards requiring over 2GB of VRAM on this game. 1) Add GTA IV to your Steam list 2) Right-click and choose properties 3) Under 'General', click 'Select Launch Options' 4) Enter: -nomemrestrict in the text box 5) Confirm and close. Problem should resolve then.
