No, I wouldn't upgrade unless it was to an i7. You might also find used Xeon E3 1240 available at reasonable prices right now.

Check if it's a Z77 board. If not, skip. If it is, consider upgrading to an i7-3770 (or 3770K) or a comparable E3 or E3 v2 Xeon.

They tend to cost significantly higher. Even with a P67/Z68/Z77 board already in hand.

It seems there were two versions of LGA 1155 boards. With a BIOS flash, one can run a 3770K. Whether it's worth it depends on having sufficient cooling for overclocking. If you're using the built-in cooler, you'd need to upgrade. For overclocking, current pricing for LGA 1155 Xeons and i7-3770K aren't clear, but a cost-benefit analysis would be helpful.

I don’t have the exact model or brand, but I’m not looking for a stock cooler. The i7-3770ks are around 120 dollars on eBay, while similar Xeons might be worth a bit more or less depending on specs.
