If the temperatures stay under 80°C during operation, you're good to proceed; a buffer of about 3 to 5 degrees seems reasonable.

Yes, the task manager displays it as 4.29ghz constant while showing "max speed 3.40ghz".
I'm using a gigabyte z97 sli mobile card.
Oh yeah, it means showing the highest speed your processor can reach... don't worry about that.
